Ardaro Subscription, Cancellation, and Refund Policy

Scope

This Policy applies when a Customer enters a paid Ardaro order or completes a paid checkout. It is incorporated into the Ardaro Terms of Service.

Submitting a workspace request does not create a paid subscription, does not authorize a charge, and does not require a payment card. Test or sandbox transactions do not move real money and do not create a paid production subscription.

Order and checkout disclosures

Before Customer enters a paid subscription, the applicable order or checkout must identify the selected plan, included quantity or seats, price, currency, billing interval, trial or promotion if any, taxes or tax treatment when available, renewal terms, and cancellation method.

The price and commercial terms displayed in the completed checkout or accepted order control over general marketing copy. Enterprise, annual, negotiated, or usage-based terms may be stated in a separate order.

Recurring payment authorization

By completing a paid checkout or signing an order with automatic renewal, Customer authorizes Ardaro and its payment processor to charge the selected payment method for the initial term and each renewal term until cancellation takes effect. Monthly subscriptions ordinarily renew each month on the billing date. Other renewal periods will be stated in the order or checkout.

Ardaro uses a payment provider such as Stripe for hosted checkout, payment-method handling, invoices, and billing-portal functions when online billing is enabled. Ardaro does not intentionally store complete payment-card numbers.

Customer must keep billing contacts and payment information current and is responsible for authorized charges, applicable taxes, and bank or card fees.

Trials and promotions

A trial, discount, founding offer, credit, or complimentary period applies only when stated in the order, checkout, or written offer. The disclosure must state its duration and the price that follows.

A trial will not convert to a paid subscription unless Customer has received the applicable recurring-payment disclosures and affirmatively authorized the payment method and conversion. Promotions do not combine unless expressly stated and have no cash value.

Renewal and price changes

Subscriptions renew automatically only when the order or checkout says so. Ardaro will clearly disclose automatic renewal and how to cancel before purchase.

Ardaro may change a subscription price for a future renewal term by giving reasonable advance notice. The change does not alter charges already paid for the current term. If applicable law requires a specific renewal reminder or price-change notice, Ardaro will provide that notice. Renewal requirements may differ based on the transaction and Customer location.

Cancellation

Customer may cancel through the Stripe-hosted billing portal when that feature is enabled, through the workspace billing request workflow, through Ardaro's authenticated support channel, or by initiating a cancellation request at support@getardaro.com. Ardaro will verify the requester's identity and authority before changing a subscription. Ardaro will not require Customer to use a more burdensome cancellation method than the methods disclosed at purchase.

Unless the order, checkout, or applicable law says otherwise:

If immediate cancellation is offered and selected, the checkout or support response will identify the access and refund effect before it is finalized. Ardaro will provide or make available confirmation of a processed cancellation.

Refunds and billing corrections

Fees are generally non-refundable and are not prorated for unused time, reduced usage, removed users, or Customer's failure to use the service, except where an order or applicable law says otherwise.

Ardaro will review a good-faith request involving a duplicate charge, an unauthorized charge, a charge after an effective cancellation, a material billing error, or a service credit expressly provided by an order. Customer should report a suspected billing error promptly with enough non-sensitive information to identify the transaction. Do not send complete card data through support.

Approval of one refund or credit does not create a continuing entitlement. Refunds are returned through the original payment method where practicable and may take time to appear based on the payment provider and financial institution.

Failed payments and past-due access

If a payment fails, Ardaro or its payment provider may retry the charge and send transactional notices. Customer remains responsible for the unpaid amount.

The implemented service may place a past-due workspace in read-only mode so authorized users can view data while changes are paused. A paused, canceled, pending, or not-started account may be blocked until billing or activation is resolved. Ardaro may suspend or terminate an account after reasonable notice when nonpayment continues, subject to the order and applicable law.

Restoring payment does not guarantee recovery of data that was lawfully deleted after an applicable retention period.

Plan and quantity changes

An upgrade, downgrade, seat change, or add-on may change the price and entitlements. The effective date, proration, credit, and next renewal amount must be shown in the applicable checkout, order, or confirmation before the change is finalized. If the automated provider cannot safely apply a requested change, Ardaro may require a reviewed support request or new order.

Downgrades may make features unavailable but do not authorize Ardaro to silently reassign Customer Content between tenants. Customer should export information needed before a capability ends.

Taxes, invoices, and disputes

Prices exclude sales, use, excise, value-added, and similar taxes unless stated otherwise. Customer is responsible for applicable taxes other than taxes based on Ardaro's net income. If Customer claims an exemption, Customer must provide valid documentation before the applicable charge when required.

Invoices and receipts may be delivered electronically. Customer should first submit a billing dispute through Ardaro's authenticated support channel or at support@getardaro.com so the parties can investigate. Nothing in this Policy limits rights that cannot be waived under applicable law.

Cancellation data handling

Cancellation ends billing according to the effective date but is not a deletion request. Workspace archival does not physically delete tenant records. Export, retention, deletion review, backups, and legal holds are governed by the Terms and Privacy Policy.

Changes

Material changes to this Policy receive a new version and apply prospectively with appropriate notice. A change will not retroactively alter a completed charge or a dispute that arose before the new effective date.

Ardaro may require identity and authority verification before acting. Do not email passwords, session credentials, complete payment-card data, private keys, or unnecessary Customer Content.
